This Terms of Use and Terms of Sale Agreement (this “Agreement”), which is a legal agreement between you (“you”) and Stepcraft, Inc., a Delaware corporation (“Stepcraft”, “we” or “us”), shall govern your use of and access to Stepcraft’s website located at www.stepcraft.us (including any successor or affiliated websites, the “Website”), your posting and/or review of information and/or questions regarding certain products and materials at the Website, (iii) your purchase of any items or materials from the Website, and (iv) all other services described at the Website (collectively, the “Services”). By checking any acceptance boxes, clicking any acceptance buttons, making any purchase or simply by making any use of the Website, you (a) accept this Agreement and agree to be bound by each of its terms, and (b) represent and warrant to Stepcraft, Inc. that (i) you have the authority to enter into this Agreement, (ii) this Agreement is binding and enforceable against you, and (iii) you have read and understand Stepcraft’s Privacy Policy, the terms of which are posted at the Website and incorporated herein by reference (the “Privacy Policy”), and agree to abide by the Privacy Policy.

Please read this Agreement carefully. If you do not agree to the terms and conditions of this Agreement or the Privacy Policy, you should immediately cease any and all activities on the Website and/or use of any Services.

DISCLAIMER

Stepcraft, Inc. reserves the right to make changes without further notice to any of our products.

Stepcraft, Inc. makes no warranty, representation or guarantee regarding the suitability of its products for any particular purpose, nor does Stepcraft, Inc. assume any liability arising out of the application or use of any product or circuit, and specifically disclaims any and all liability, including without limitation special, consequential or incidental damages.

Stepcraft, Inc. products are not designed, intended, or authorized for use as components in systems intended for surgical implant into the body, or other applications intended to support or sustain life, or for any other application in which the failure of the Stepcraft, Inc. product could create a situation where personal injury or death may occur. Should Buyer purchase or use Stepcraft, Inc. products for any such unintended or unauthorized application, Buyer shall indemnify and hold Stepcraft, Inc. and its officers, employees, subsidiaries, affiliates, and distributors harmless against all claims, costs, damages, and expenses, and reasonable attorney fees arising out of, directly or indirectly, any claim of personal injury or death associated with such unintended or unauthorized use, even if such claim alleges that Stepcraft, Inc. was negligent regarding the design or manufacture of the part.

“Typical” parameters which may be provided in Stepcraft, Inc. data sheets and/or specifications can and do vary in different applications and actual performance may vary over time.

All Content included on this site, such as text, graphics, logos, icons, images, and audio clips is the property of Stepcraft, Inc. or its content suppliers and protected by United States and international copyright laws. Open-source and public domain materials will be clearly marked as such. The compilation of all other content on this site is the exclusive property of Stepcraft. Inc. and protected by U.S. and international copyright laws. All trademarks used or referred to in this website are the property of their respective owners. All rights not expressly granted are herein reserved.

As a content supplier you are responsible for the content of any information you post or contribute on this website and represent that you have all necessary rights in such posting. By submitting information to this website, you grant Stepcraft, Inc. a perpetual royalty-free, worldwide license to use, transmit, copy and display such information. LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT STEPCRAFT, INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE LOSSES OR DAMAGES, INCLUDING BUT NOT LIMITED TO LOSSES OR DAMAGES FOR ANY LOST REVENUES OR PROFITS, BASED UPON OR RELATED TO USE OF ANY CONTENT ON OR ACCESSED THROUGH THIS WEBSITE OR ANY WEBSITE LINKED TO, OR ANY COPYING, DISPLAYING, OR USE THEREOF, EVEN IF STEPCRAFT, INC. HAS BEEN ADVISED OR MADE AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES OR DAMAGES.

CLAIMS

In all claims for shortages, buyer must notify Stepcraft, Inc. in writing within 15 days of receipt of shipment. Charges for repair or inspection of parts by buyer, without prior authorization, cannot be honored. Claims will not be honored on those parts further processed by buyer resulting in change of dimensions or characteristics from parts ordered.

No claim for damages for goods that do not conform to specifications will be allowed unless Stepcraft, Inc. is given immediate notice after delivery of goods to the first destination to which they are shipped and allowed an opportunity to inspect them. Goods for which damages are claimed shall not be returned, repaired, or discarded without Stepcraft’s written consent. BUYER’S EXCLUSIVE REMEDY AGAINST STEPCRAFT, AND STEPCRAFT’S SOLE OBLIGATION, FOR ANY AND ALL CLAIMS, WHETHER FOR BREACH OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE LIMITED TO STEPCRAFT’S REPLACING GOODS THAT DO NOT CONFORM TO SPECIFICATIONS OR, AT STEPCRAFT’S OPTION, REFUNDING THE PURCHASE PRICE. IN NO EVENT SHALL STEPCRAFT HAVE ANY LIABILITY FOR DAMAGES IN AN AMOUNT EXCEEDING THE PURCHASE PRICE OF THE GOODS SOLD HEREUNDER, NOR SHALL STEPCRAFT HAVE ANY LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.

DELIVERY & SHIPMENTS

Delivery dates are approximate. Stepcraft, Inc. shall not be responsible for non-shipment of goods or delays in delivery or performance due to causes beyond its reasonable control, including, but not limited to, acts of God; acts of Buyer; strikes or other labor disturbances; Stepcraft’s inability to obtain, or material increases in the cost of, fuel, raw materials or parts; delays in transportation; repairs to equipment; fires; or accidents. Acceptance of goods upon delivery shall constitute a waiver by Buyer of any claim for damages on account of non-shipment or delays in delivery or performance.

All deliveries are F.O.B. Stepcraft, Inc.’s shipping facility, via UPS, USPS and/or freight prepaid. If shipped freight prepaid, the charge for freight will be added to the invoice. Neither freight charges nor tax are subject to any discount. Risk of loss or damage in transit shall be borne by Buyer, and claims shall be made directly with the carrier. At the time of purchase Buyer may arrange to pick up goods at Stepcraft, Inc.’s shipping facility. In this case Buyer agrees to schedule and pickup goods within 10 days after the date Buyer is notified of the availability of goods. If Buyer fails to pick up goods within 10 days after notification of availability Stepcraft reserves the right to cancel the order and refund the purchase price, less a restocking fee.

RECEIPT OF GOODS

Do not sign the delivery receipt until: 1) The freight has been landed (to the ground), and 2) The crate(s)/box have been carefully inspected for damage.

Inspect the crate(s)/box(es) thoroughly – walk around each piece. Note any damage to the crate(s)/box(es) on the delivery receipt before signing it. Give as much detail as possible. If the extent of the damage is unknown, note damage as much as possible and also note: “subject to further inspection”. Note any shortages: If the delivery receipt calls for 2 pieces and only one is received, note “Short 1 piece” on the delivery receipt. Advise Stepcraft, Inc. if the shipment has been damaged or if there is a shortage. Taking pictures of the crate or packaging is also helpful if there is damage.

It is Buyers responsibility to refuse a shipment if there is extensive damage to shipping crates or packaging or if they are unsafe to move. The carrier will then bring the shipment back to their terminal and contact Stepcraft, Inc. for disposition. When refusing a shipment it is preferable to not sign for delivery. If the carrier insists on a signature, write “shipment damaged and refused” on the delivery receipt and then sign.

CANCELLATION POLICY

You can cancel a contract within 14 days without giving reasons either via the website, in writing (e.g. letter, fax, email), or – if you received your purchase before the deadline – by sending the item back. The time limit begins after receipt of this policy in text form, but only once the goods have been received (in case of recurring deliveries of similar goods after receipt of the first partial delivery) and also only after our information-related obligations have been fulfilled Returns must be sent to: Stepcraft Inc. 151 Field Street, Torrington, CT 06790 E-mail: info@stepcraft.us

RETURNS

You can return your merchandise in unused, unopened condition within 30 days of purchase with no restocking fee. The buyer is responsible for return shipping charges. After 30  but not more than 90 days, a 35% restocking fee will be deducted from your refund.  Shipping fees are non-refundable. Any missing or damaged parts or accessories will be deducted from the refund. Once a machine kit has been partially assembled, it is subject to the Customer-Assembled terms listed below.

Software sales are subject to the software developers licenses and are not refundable, however STEPCRAFT will refund unused, uninstalled software.  Once the software has been registered, it can not be returned.

Customer-assembled machines can be returned within 30 days of receipt. The customer must pay the freight charges and are responsible for proper packing and protection of the machine.  Once we receive the machine, we will inspect and test it.  If it is in good resellable condition, then we will refund your purchase price, less 25% restocking fee and original shipping costs.  If the machine arrives damaged, then we will assess the damage and provide you with a quote for repair, which can be deducted from the refund or a claim can be entered with the shipping company.  We always suggest that you take full value insurance out from the shipping company to ensure that any damages from shipping are covered by the carrier.  It would be the customer’s responsibility to file a claim and wait for a settlement. After 30 days, customer-assembled machines are no longer eligible for return.

RETURN PROCEDURE

If you are in the United States, contact the Stepcraft Inc. Customer Service Department to obtain a Return Merchandise Authorization (RMA) number. An RMA number MUST be obtained before returning a device. We cannot accept returned merchandise without an RMA Number.

TO RETURN A PRODUCT

  • Carefully pack the item to prevent damage in transit. Check with Stepcraft, Inc. regarding proper method of shipment. No responsibility is assumed by Stepcraft, Inc. for damage caused by improperly packaged products. Indicate the RMA number on the carton or on the packing slip.
  • Always insure for the replacement value of the item.
  • Due to custom restrictions, products CANNOT be returned from outside the USA.
  • If you are returning for repair, include a description of symptoms, your name, return address, phone number and purchase order to cover repair costs, return and shipping charges, if your institution requires it. Buyer is responsible for shipping fees.
